relationship based entirely on, and limited to, a management
agreement concerning La Mola Meeting Resort (the “Agreement”). No
partnership, joint venture, agency, fiduciary or employment
relationship is intended or created by reason of the Agreement.
Management Proyecto Inmuebles, S.L. / La Mola Hotel &
Conference Centre, S.L. will exercise full and complete control
over, and have full responsibility for, La Mola’s contracts, daily
operations, labor relations, employment practices and policies,
including, but not limited to, the recruitment, selection, hiring,
disciplining, dismissal, compensation, work rules and schedules of
La Mola’s employees.
Any debts, liabilities, contingencies, expenses, charges or
other obligations and liabilities of any kind derived from the
operation of La Mola Meeting Resort or from the ownership of La
Mola Meeting Resort and its installations shall be borne fully by
Management Proyecto Inmuebles, S.L. / La Mola Hotel &
Conference Centre, S.L. without Principal Hayley being obliged to
assume them or to advance funds.
